Welcome to NorthScale Lab. These Terms of Service ("Terms") govern your access to and use of the NorthScale Lab platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
These Terms constitute a binding agreement between you and NorthScale Lab Inc. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account information.
NorthScale Lab provides a marketing technology platform that enables businesses to manage, analyze, and optimize their digital advertising campaigns across multiple channels. The Service includes campaign management tools, performance dashboards, reporting features, budget monitoring, conversion tracking, marketing automation, and data analysis capabilities.
We may modify, update, or discontinue any part of the Service at any time, with or without notice. We will not be liable if any part of the Service is unavailable or modified.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Access to certain features of the Service requires a paid subscription. All fees are quoted in U.S. dollars unless otherwise specified. You agree to pay all fees associated with your selected subscription plan.
Subscription fees are billed in advance on a monthly or annual basis, depending on your plan. Unless otherwise stated in your order form, all payments are non-refundable. We reserve the right to change our pricing upon 30 days' notice, which may be provided via email or by posting changes on our website.
Late or failed payments may result in suspension or termination of your access to the Service. You are responsible for providing accurate billing information and updating it as necessary.
The Service, including all content, features, functionality, software, design elements, trademarks, logos, and proprietary materials, is owned by NorthScale Lab and is protected by copyright, trademark, patent, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service, our trademarks, logos, or other intellectual property. You may not use our branding or trademarks without our prior written consent.
You retain all right, title, and interest in and to your data, including marketing data, campaign information, analytics data, and any other information you upload, input, or generate through the Service ("Customer Data").
You grant us a limited license to use, process, store, and transmit Customer Data solely for the purpose of providing and improving the Service. We will not use Customer Data for any other purpose without your consent, except as required by law.
You are solely responsible for the accuracy, legality, and reliability of Customer Data. You represent and warrant that you have all necessary rights and permissions to provide Customer Data to us and to grant the license described above.
We strive to maintain high availability of the Service. For paid subscription plans, we target 99.9% uptime for the platform during each calendar month, excluding scheduled maintenance. Scheduled maintenance will be communicated in advance and will generally occur during off-peak hours.
We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times. The Service may be unavailable due to maintenance, technical issues, or factors beyond our control.
The Service may integrate with third-party platforms, services, and tools (such as Google Ads, Meta Ads, Google Analytics, and others). Your use of these third-party services is subject to their respective terms and privacy policies.
When you connect a third-party service to our platform, you authorize us to access your account information and data from that service as needed to provide the Service. We are not responsible for the acts or omissions of third-party providers.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NORTHSCALE LAB MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, operate without interruption, or be error-free. You acknowledge that you use the Service at your own risk.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NORTHSCALE LAB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO NORTHSCALE LAB IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
You may cancel your subscription and terminate these Terms at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period unless otherwise specified.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we determine that your use of the Service poses a risk to us, other users, or third parties.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitation of liability, and general provisions.
You agree to indemnify, defend, and hold harmless NorthScale Lab and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in San Francisco County, California, in accordance with the rules of the American Arbitration Association.
We may revise these Terms from time to time. The most current version will always be posted on our website. Material changes will be communicated via email or through in-app notification. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and NorthScale Lab regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
